ID Logistics, one of the European leaders in contract logistics, has completed the acquisition of 100% of Spedimex, a major player in contract logistics in Poland, with solid experience in the fashion and e-commerce sectors.
Founded in 1993, Spedimex has become a key player in contract logistics in Poland, with extensive experience in the fashion and e-commerce sectors to important international and Polish brands, as well as in cosmetics. In addition to contractual logistics, Spedimex offers a solid distribution and transportation network, value-added logistics services or preparation of details. Spedimex has developed a model of low investment in assets and operates in 15 points throughout the country, which represents a total of 230.000 m². The company has implemented sophisticated mechanization and technology solutions capable of managing large and complex flows, such as store returns and e-commerce of more than 15 European countries for a single client. In recent years, Spedimex has significantly increased its turnover, reaching 109 million euros (510 million zlotys) in 2022.
This strategic acquisition for ID Logistics is motivated by the close proximity of the cultures and the similarity of the business models of both companies: asset-light approach, dedicated warehouses and solutions adapted to the specific needs of each operation. The complementarity of client portfolios and technical expertise between Spedimex and ID Logistics It will also enable the development of significant commercial synergies, particularly for major international clients. With the acquisition of Spedimex, the company becomes one of the leaders in the Polish market with 35 locations, 7.000 employees and a portfolio of leading industrial, retail and e-commerce customers.

Details of the transaction
The transaction was carried out through the cash payment of 23,5 million euros and the equivalent of 53,9 million in new shares of the ID Logistics Group, issued to Marcin Bąk, former main shareholder and CEO of Spedimex, who becomes a 3,2% shareholder. These payment terms allow ID Logistics to maintain a solid financial structure after the acquisition.
In addition to the purchase of Spedimex, Eric Hémar, president and CEO of ID Logistics, has integrated a 5% stake in the subholding into the logistics company. Ficopar, through Immod, a company that is under its control, in consideration for new shares of the ID Logistics Group. This rationalization of the legal structure allows the ID Logistics Group to own 100% of its Ficopar subholding. After these two capital transactions, Eric Hémar slightly increases his direct and indirect ownership to 53% of the shares of the ID Logistics Group, thus maintaining the possibility of paying with shares for future acquisitions.
